DIGITAL ASSET LICENCE AGREEMENT

1. INTRODUCTION

This Digital Asset Licence Agreement ("Agreement") is made and entered into by and between Invisualight Ltd ("Licensor") and the purchaser or recipient of the digital asset(s) ("Licensee"). By purchasing or using the digital assets provided by Invisualight Ltd, the Licensee agrees to the terms outlined below.

2. GRANT OF LICENCE

Licensor grants Licensee a non-exclusive, non-transferable, revocable license to use the digital asset(s) for commercial purposes. This license allows the Licensee to:

• Use the digital asset(s) for promotional, marketing, and business-related purposes.

• Modify or adapt the digital asset(s) as needed for their commercial use.

3. RESTRICTIONS

Licensee shall not:

• Resell, redistribute, sublicense, or transfer the digital asset(s) to any third party.

• Claim ownership or authorship of the digital asset(s).

• Use the digital asset(s) for any unlawful, defamatory, or fraudulent purposes.

4. COPYRIGHT AND OWNERSHIP

The copyright and all intellectual property rights to the digital asset(s) remain the sole property of Invisualight Ltd. The granting of this license does not transfer any ownership rights to the Licensee.

5. LIABILITY AND INDEMNITY

Licensor makes no warranties regarding the suitability of the digital asset(s) for any specific purpose. Licensee agrees to indemnify and hold harmless Invisualight Ltd against any claims arising from the use of the digital asset(s).

6. TERMINATION

In the event of a breach of this Agreement, Licensor reserves the right to terminate the license immediately. Upon termination, the Licensee must cease using the digital asset(s) and delete any copies in their possession.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.

By purchasing or using Invisualight Ltd’s digital assets, the Licensee acknowledges and agrees to the terms of this Agreement.
