2. Definitions

• "Client": Refers to the individual or entity purchasing or licensing digital assets.

• "Services": Refers to digital media creation, including photography, video editing, and content licensing.

• "Products": Refers to digital assets, such as photographs, videos, and other creative works.

• "Agreement": Refers to this T&C document.

• "Deliverables": Refers to all digital outputs provided by the Company.

3. General Terms

Scope of Services

Invisualight ltd offers the following services:

• Licensing of digital assets for commercial and personal use.

• Photography and digital media services, such as product photography, event coverage, and visual content creation.

Eligibility

By engaging our services, you confirm that you are at least 18 years old and authorized to enter into legally binding agreements.

4. Digital Asset Licensing

All digital assets provided by Invisualight ltd are subject to our Digital Asset License Agreement, which outlines the specific usage rights, restrictions, and licensing conditions. By purchasing or using our digital assets, you agree to be bound by this agreement.

5. Ordering and Payment

• Orders can be placed via our website or directly through our representatives.

• Payments are accepted via bank transfer, credit card, or other specified methods.

• Full payment must be made before product delivery unless otherwise agreed.

6. Deliverables and Usage Rights

• Clients will receive professionally edited digital assets as agreed in the service package.

• Standard delivery is within 7-14 business days, unless specified otherwise.

• The Company retains copyright ownership of all digital assets unless explicitly transferred in writing.

• To transfer copyright ownership, a separate agreement outlining the terms, scope, and associated fees must be signed by both parties.

• Clients are granted a license to use the deliverables for personal or commercial purposes as per the Digital Asset License Agreement.

7. Confidentiality

Both parties agree to keep any confidential information shared during the course of this agreement private and secure.

8. Limitation of Liability

The Company shall not be liable for indirect, incidental, or consequential damages resulting from the use of our products or services, except as required by law.

9. Governing Law

This Agreement is governed by the laws of the United Kingdom. Any disputes will be resolved in the courts of the United Kingdom.

10. Amendments

The Company reserves the right to update these T&C at any time. Changes will be communicated via email or website updates.

11. Non-Disclosure Agreement (NDA)

Confidential Information

The Company and the Client agree that any non-public, proprietary, or confidential information shared during the course of the engagement shall be treated as strictly confidential.

12. Restrictive Covenant

Clients agree not to engage in activities that directly compete with the services provided by the Company for a period of 12 months following the conclusion of any engagement. This includes but is not limited to:

• Republishing or reselling digital assets obtained through the Company without prior written consent.

• Replicating or leveraging the Company's proprietary photography techniques, workflows, or deliverables for commercial gain without authorization.

This covenant is intended to protect the Company’s intellectual property, trade secrets, and market position. Any breach of this covenant may result in legal action.
